UniMgr User Agreement

Version: V3.0 | Published: 2026/10/13 | Effective: 2026/10/10

IMPORTANT NOTICE

This UniMgr User Agreement (the "Agreement") is a legally binding agreement between you and QTHYCC (referred to as "we", "us" or "our") governing your registration, login and use of the UniMgr unified account and the services of our products. This Agreement contains provisions that limit or exclude our liability and provisions on dispute resolution and governing law. Please read it carefully, especially the clauses in bold.

By checking "I agree" on the registration page, completing registration, or actually using the UniMgr unified account or any of our products, you are deemed to have read, understood and agreed to be bound by all terms of this Agreement. If you do not agree with any part of this Agreement, please stop registering or using the services immediately.

1. Scope of Application

1.1 UniMgr (the "Platform") is the unified account and product entry service provided by QTHYCC. The unified account (the "Account") registered through the Platform can be used to sign in to and use products developed and operated by us, including but not limited to UniMgr, efTool, FilesMgr, UniMgrCage, UniMgrZip, UniWB and UniDesk, as well as websites, desktop software, mobile applications, mini-programs and mini-games (collectively, the "Products").

1.2 This Agreement applies to all acts performed by you through the Platform and the Products in connection with the Account. Individual Products may issue their own supplemental rules or agreements consistent with this Agreement; where such rules conflict with this Agreement with respect to the use of a specific Product, those rules prevail for that Product, and this Agreement otherwise applies.

1.3 This Agreement includes its body text and annexes, as well as any rules, statements and policies published by us from time to time (such as the UniMgr Privacy Policy, UniMgr Terms of Service and UniMgr Acceptable Use Policy). All such documents form an integral part of this Agreement and have the same legal effect.

2. Account Registration

2.1 Registration methods: You may register with a custom username, or with an email address plus an email verification code. Usernames must be 4–32 characters, start with a letter or underscore, and may contain letters, digits, underscores or hyphens; they must not infringe third-party rights or contain unlawful or inappropriate content.

2.2 Accuracy of information: You shall provide true, accurate, complete and up-to-date registration information and keep it updated. You bear all losses and liabilities arising from inaccurate or outdated information.

2.3 Account uniqueness: Usernames and email addresses are unique across the Platform. As a general rule, each natural person or legal entity should register only one Account; please do not register or hold multiple Accounts unless expressly permitted by us in writing.

2.4 Age and capacity: You must be a natural person, legal person or organisation with the required capacity. If you are a minor, you must read this Agreement under the guidance of your guardian and use the Platform only with your guardian's consent; see the UniMgr Minors Protection Policy.

2.5 Verification: To comply with laws or for risk-control purposes, we may require email verification or identity checks. If you refuse to cooperate, we may restrict part or all of the services.

3. Account Security

3.1 The Account is for your personal use only. You shall properly safeguard your Account, password and verification information, and shall not transfer, rent, lend, sell or share the Account in any manner. Any losses caused by your poor safekeeping or disclosure shall be borne by you.

3.2 If you discover unauthorised use of your Account or other security anomalies, you should immediately reset your password via the email verification code and contact us. We will make reasonable efforts to help secure your Account, but we are not liable for losses that have already occurred before such notification, except as otherwise mandatorily provided by law.

3.3 All actions performed through your Account (including signing in to Products, publishing content and initiating transactions) are deemed your own actions, and you bear the corresponding legal liability.

4. Relationship between the Unified Account and the Products

4.1 Registration and password reset take place on this site: When you click "Register" or "Forgot password" within a client application, you will be redirected to the Platform to complete the operation and then return to the client to sign in. The Platform will not keep you signed in in the browser, nor transmit your password back to clients.

4.2 Scope of data sharing: To enable unified sign-in and account services, your basic Account information (such as username, email, membership and entitlement status) is shared among the Products you authorise to the extent necessary. For details, see the UniMgr Privacy Policy.

4.3 Anti-phishing: We will never ask for your password via third-party websites, messaging tools or phone calls. Please verify that the domain belongs to QTHYCC before entering your password.

5. Code of Conduct

5.1 When using the Account and any Product, you shall comply with the laws and regulations of your country/region and of the People's Republic of China, respect public morals, and refrain from any unlawful activities or activities infringing the lawful rights of others.

5.2 You shall not:

  • register, rent, trade, gift or share Accounts in bulk, or use another person's Account without authorisation;
  • maliciously request APIs, bypass rate-limiting or risk controls, scrape platform data, or interfere with or disrupt the services by technical means;
  • upload, publish or disseminate content prohibited by law, or content infringing others' reputation, privacy, portrait, copyright, trademark or other rights;
  • use the Account for fraud, money laundering, gambling, pyramid schemes, malware distribution or other criminal activities;
  • reverse engineer, decompile or otherwise attempt to obtain the source code of the Products (except as expressly permitted by law);
  • otherwise violate laws, public morals, platform rules or this Agreement.

5.3 For detailed content rules and prohibited conduct, see the UniMgr Acceptable Use Policy. For violations, we may take measures such as warnings, feature restrictions, suspension, Account bans, evidence preservation and reporting to competent authorities, and reserve the right to pursue legal liability.

6. User Content

6.1 You retain all ownership of the content you upload, create, publish or store through the Products ("User Content").

6.2 You grant us a free, non-exclusive, limited licence to use User Content only to the extent necessary to provide the services (e.g. storage, display, sync, backup). We will not use User Content for commercial purposes unrelated to the services.

6.3 You warrant that your User Content is lawful and that you hold the necessary rights. You are solely responsible for disputes arising from your User Content, and you shall indemnify us and third parties for losses caused thereby.

6.4 You may delete your User Content at any time. After Account cancellation, we will process the related data in accordance with the UniMgr Privacy Policy and applicable laws.

7. Paid Services

7.1 Some Products offer paid features (such as memberships, perpetual tool licences, entitlements, activation codes and wallet top-ups). Before purchasing, please carefully review the price, content, validity period and restrictions shown on the purchase page. Payment, delivery and refund rules are set out in the UniMgr Terms of Service and the UniMgr Refund Policy.

7.2 Virtual goods, once used or activated, are generally non-refundable except as mandatorily provided by law or as otherwise promised by us.

8. Changes, Interruption and Termination of Services

8.1 Services may change, be interrupted or be suspended due to business adjustments, system maintenance, upgrades, failures or force majeure. We will use reasonable efforts to announce matters with material impact in advance.

8.2 If you seriously breach this Agreement or applicable laws, we may restrict, suspend or terminate the services and process related data in accordance with laws and platform rules.

8.3 You may stop using the Platform at any time; Account cancellation is governed by Section 9.

9. Account Cancellation

9.1 You may apply to cancel your Account at any time through the Account Centre. Once cancelled, the Account becomes permanently invalid and can no longer be used to sign in to any Product; any balance, unconsumed entitlements, memberships, coupons and activation codes in the Account will expire without compensation; and related data will be deleted or anonymised as required by law. Cancellation is irreversible — please act with caution.

9.2 Before cancellation, please settle your in-account assets and data. Where there are pending disputes, unsettled payments or statutory retention requirements, we may suspend processing your cancellation request until such matters are resolved.

10. Intellectual Property

10.1 All intellectual property in the names, logos, interface designs, program code, documentation and related data of QTHYCC and the Products belongs to us or the respective rights holders. Without written permission, no one may copy, modify, disseminate, reverse engineer or commercially exploit them in any manner.

10.2 All rights not expressly granted under this Agreement are reserved by us or the respective rights holders. Your use of the services does not constitute any transfer or licence of intellectual property.

11. Disclaimers and Limitation of Liability

11.1 The disclaimers and limitations under this Agreement are set out in the UniMgr Disclaimer. In summary: the services are provided "as is"; to the maximum extent permitted by law, we are not liable for indirect losses or data loss; and, to the extent permitted by law, our aggregate liability is capped at the fees you actually paid for the relevant services.

11.2 This section and the UniMgr Disclaimer do not exclude mandatory consumer rights under applicable law, nor liability for damage caused by our intent or gross negligence.

12. Amendments and Notices

12.1 We may amend this Agreement in response to changes in laws or business needs. Amendments will be published on the Platform with the update date. Where an amendment materially affects your rights, we will notify you prominently via pop-up, in-site message or email. If you continue to use your Account after the amendment takes effect, you are deemed to have accepted the amended Agreement; if you do not agree, please stop using the services and may apply for Account cancellation.

12.2 Material changes, announcements and notices regarding the Products will be delivered via platform announcements, in-site messages, email or other contact details you provided at registration. Notices sent electronically are deemed delivered.

13. Governing Law and Dispute Resolution

13.1 The formation, validity, interpretation, performance and dispute resolution of this Agreement are governed by the laws of the People's Republic of China (excluding its conflict-of-laws rules for Hong Kong, Macao and Taiwan).

13.2 Any dispute arising out of or in connection with this Agreement shall first be resolved through friendly negotiation; failing that, either party may bring a lawsuit before the people's court with jurisdiction over the defendant's domicile.

13.3 Notice to international users: Where the mandatory laws of your country/region (including consumer protection laws) grant you the right to bring proceedings before local courts or alternative dispute resolution bodies, this section does not affect the application of such mandatory provisions; within that scope, jurisdiction and governing law shall be determined in the manner permitted by applicable law.

14. Severability and Entire Agreement

14.1 If any provision of this Agreement is held invalid or unenforceable, the remaining provisions remain in effect, and the parties shall substitute a valid provision that most closely reflects the original commercial intent.

14.2 This Agreement (including the policies and rules that form part of it) constitutes the entire agreement between the parties regarding the services and supersedes any prior oral or written agreements on the same subject.

14.3 Our failure or delay in exercising any right under this Agreement does not constitute a waiver of that right.
